Terms and Conditions

Please read these Terms and Conditions ("Terms") carefully before using the Services. By accessing or using the Services, you agree to be bound by these Terms. If you don't agree, don't use the Services.
Definitions
For the purposes of these Terms:
**Application** means the gigMarket mobile app, including any iOS or future Android version.
**Company** ("we," "us," or "our") means gigMarket LLC, 221 W 9th St #549, Wilmington, DE 19801, United States.
**Country** refers to the United States. **Governing State** refers to Delaware.
**Service** or **Services** means the Application, the Website, and all related features and functionality, taken together.
**Website** means our marketing site at https://gigmarket.io and our web application at https://app.gigmarket.io.
**You** ("user") means the individual accessing or using the Services, or the entity on whose behalf such individual is accessing or using the Services.
**Hiring Party** means a venue, hiring manager, agency, or other booker who creates events and invites artists through the Services.
**Artist** means a DJ, musician, or other performer who creates a profile, manages availability, and accepts or declines invitations through the Services.
**Content** means any text, images, audio, video, or other material that you submit, upload, transmit, or display through the Services — including profile photos, bios, music preferences, availability, event details, and invoice records.
**Feedback** means any feedback, innovations, or suggestions you send us regarding the Services.
**Affiliate** means an entity that controls, is controlled by, or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest, or other securities entitled to vote for election of directors or other managing authority.
Acknowledgment
These Terms govern the use of the Services and constitute the agreement between you and the Company. They apply to all visitors and users.
By accessing or using the Services, you confirm that:
- you are at least 18 years old
- you have the legal capacity to enter into a binding agreement
- you accept these Terms and our Privacy Policy
If you're using the Services on behalf of an entity (a venue, agency, etc.), you represent that you have authority to bind that entity to these Terms.
Eligibility and accounts
To use most features, you need an account. When you create an account, you must:
- provide accurate, complete, and current information
- keep your password confidential and notify us promptly at admin@gigmarket.io if you suspect unauthorized access
- be responsible for all activity that occurs under your credentials
- not pick a username that impersonates another person or entity, infringes a trademark you don't own, or is otherwise offensive, vulgar, or unlawful
You may have only one active personal account. Hiring Parties and agencies may have organizational accounts in addition to a personal account.
Acceptable use
You agree not to:
- use the Services to harass, defame, threaten, or impersonate another person
- create fake accounts, fake events, fake invitations, or fake invoices
- attempt to access another user's account or data
- scrape, crawl, copy, or otherwise harvest data from the Services in bulk
- circumvent any security measure, rate limit, or access control
- upload viruses, malware, or other harmful code
- interfere with the operation of the Services or any other user's use of them
- use the Services to violate applicable law or any third party's rights
We may investigate suspected violations and take whatever action we deem appropriate, including suspending or terminating accounts. Where applicable law requires, we'll notify you of any action.
Your content
You keep ownership of the Content you submit. By submitting Content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and transmit that Content as needed to operate the Services and deliver them to other authorized users (for example: showing your profile photo to a Hiring Party who is considering you for an event, or showing an event you accepted to other invited Artists).
You are solely responsible for your Content. You represent that:
- you own or have the necessary rights to submit your Content
- your Content does not infringe any third party's intellectual property, privacy, or other rights
- your Content complies with these Terms and applicable law
We may remove Content that violates these Terms.
Platform model
The Services are a platform that connects Artists with Hiring Parties. **gigMarket is not a party to any booking, performance contract, or invoice between an Artist and a Hiring Party.** We facilitate communication, scheduling, and recordkeeping; we do not employ Artists, we don't guarantee that any event will result in payment, and we are not responsible for the conduct of any user.
We may, in our discretion, provide tools to help resolve disputes between users (for example, an invoice rejection note with a reason). Use of those tools is voluntary and does not make us a party to the underlying agreement.
Music DNA and algorithmic matching
The Services use a profile we call **Music DNA** — a self-rated genre-strength radar combined with behavioral signals from your activity on the platform — to help match Artists with Hiring Parties looking for a particular sound. Music DNA is informational, not deterministic: Hiring Parties make their own booking decisions, and Artists choose whether to accept invitations.
You can update your Music DNA by retaking the music survey (currently by emailing admin@gigmarket.io; self-service editing is on the roadmap). We don't use Music DNA for any purpose outside operating the Services and you can request its deletion as part of an account-deletion request.
Subscriptions, fees, and payment processing
The Services are currently free to use during early access. We may, in the future, introduce paid features or subscription tiers. If we do:
- we'll give you notice before any new fee applies to your account
- billing will be in advance on a recurring basis (frequency depending on the plan you select)
- subscriptions will renew automatically until canceled, with cancellation available from your account settings or by emailing admin@gigmarket.io
- paid fees are non-refundable except as required by law, though we may grant refunds case-by-case at our discretion
- we may modify subscription fees with reasonable prior notice; continued use after the change takes effect constitutes agreement to the new fee
Payments between Artists and Hiring Parties are made directly between those parties or through their chosen payment processor — gigMarket does not currently process payments between users, and is not the merchant of record for those transactions.
Promotions
Any contests, sweepstakes, or other promotions made available through the Services may be governed by separate rules. If those rules conflict with these Terms, the promotion rules apply for that promotion.
Intellectual property
Excluding the Content you and other users submit, the Services and their original content, features, and functionality are and remain the exclusive property of the Company and its licensors. The Services are protected by copyright, trademark, and other laws of the United States and other jurisdictions. Our trademarks and trade dress may not be used without our prior written consent.
Feedback
If you send us Feedback, you grant us a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, disclose, sub-license, distribute, modify, and exploit that Feedback without restriction. You're not obligated to give us Feedback, and giving us Feedback doesn't create any commercial relationship.
Links to other sites
The Services may link to third-party sites or services we don't own or control. We aren't responsible for the content, privacy practices, or terms of those sites. We encourage you to review the terms and privacy notices of any third-party site you visit.
Termination
You may terminate your account at any time by emailing admin@gigmarket.io or, where available, using the in-product delete-account flow.
We may suspend or terminate your account:
- **Immediately and without notice** if you breach these Terms (including the Acceptable Use section), pose a security or legal risk, or fail to pay applicable fees
- **With reasonable notice** in any other case (e.g., if we discontinue a feature you depend on, or wind down the Services)
On termination, your right to use the Services ends. We'll handle your data per our Privacy Policy: most personal information is deleted within 30 days; some records (event history, invoices, payouts) may be retained for legal and audit purposes.
Limitation of liability
Notwithstanding any damages you might incur, the entire liability of the Company and its suppliers under any provision of these Terms, and your exclusive remedy, is limited to the amount you have paid to the Company through the Services or **100 USD** if you haven't paid anything.
To the maximum extent permitted by applicable law, in no event will the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever — including damages for loss of profits, loss of data, business interruption, personal injury, or loss of privacy — arising out of or related to the use of, or inability to use, the Services, even if the Company has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.
Some states don't allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages. In those states, each party's liability will be limited to the greatest extent permitted by law.
"AS IS" and "AS AVAILABLE" disclaimer
The Services are provided "AS IS" and "AS AVAILABLE," with all faults and defects, and without warranty of any kind. To the maximum extent permitted by applicable law, the Company, on its own behalf and on behalf of its Affiliates and its and their respective licensors and service providers, expressly disclaims all warranties — express, implied, statutory, or otherwise — including all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties that may arise out of course of dealing, course of performance, usage, or trade practice.
Without limiting the foregoing, we make no representation or warranty of any kind that:
- the Services will meet your requirements or achieve your intended results
- the Services will be uninterrupted or error-free
- the information or content provided through the Services is accurate, reliable, or current
- the Services or emails sent from or on behalf of the Company are free of viruses, malware, or other harmful components
Some jurisdictions don't allow the exclusion of certain warranties. In those jurisdictions, the exclusions and limitations in this section apply to the greatest extent enforceable under applicable law.
Governing law
These Terms and your use of the Services are governed by the laws of the State of Delaware, United States, excluding its conflict-of-laws rules. Your use of the Services may also be subject to other local, state, national, or international laws.
Disputes
If you have a concern or dispute about the Services, please first contact us at admin@gigmarket.io and try to resolve it informally. We'll do the same. Most disputes can be resolved this way.
If informal resolution doesn't work and the dispute is one we can resolve in court, the courts of the State of Delaware will have exclusive jurisdiction, except where applicable consumer-protection law gives you the right to bring a claim in your home jurisdiction.
EU consumer rights
If you are a European Union consumer, you benefit from any mandatory provisions of the law of the country in which you reside.
US federal government end use
If you are a U.S. federal government end user, the Services are a "Commercial Item" as defined in 48 C.F.R. §2.101.
US legal compliance
You represent and warrant that (i) you are not located in a country that is subject to U.S. government embargo or that has been designated by the U.S. government as a "terrorist-supporting" country, and (ii) you are not listed on any U.S. government list of prohibited or restricted parties.
Severability
If any provision of these Terms is held to be unenforceable or invalid, that provision will be modified or interpreted to accomplish its objectives to the greatest extent permitted by applicable law, and the remaining provisions will continue in full force and effect.
Waiver
Failing to exercise a right or to require performance of an obligation under these Terms doesn't affect a party's ability to exercise that right or require that performance later, and a waiver of one breach is not a waiver of any later breach.
Translation
If we make these Terms available to you in a language other than English, you agree that the original English text controls in case of a dispute.
Changes
We may update these Terms from time to time. If a change is material, we'll make reasonable efforts to provide at least 30 days' notice (in the Services or by email) before the new Terms take effect. What counts as material is in our reasonable judgment. Continuing to use the Services after the change takes effect means you accept the revised Terms; if you don't, please stop using the Services.
